3. Account Registration

To use our Services, you must:

  • Create an account with accurate and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account

You are responsible for all activities that occur under your account.

4. Subscription and Payment

Pilot Engagement

We may offer pilot engagement periods. At the end of the pilot, your account will continue under the agreed subscription terms unless you cancel.

You retain all rights to the data you upload to our platform ("Your Data"). We do not claim ownership of Your Data.

License Grant

You grant us a limited license to use, process, and store Your Data solely to provide and improve our Services.

Data Export

You may export Your Data at any time through our platform's export features.

6. Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose
  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Upload malicious code or content

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WE DO NOT PROVIDE LEGAL, FINANCIAL, OR COMPLIANCE ADVICE. THE COMPLIANCE FEATURES IN OUR PLATFORM ARE TOOLS TO ASSIST YOU, BUT YOU ARE RESPONSIBLE FOR ENSURING YOUR OWN COMPLIANCE WITH APPLICABLE LAWS AND REGULATIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPSENTIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO OPSENTIA IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold Opsentia harmless from any claims, damages, losses, and expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of another party.

12. Termination

Either party may terminate these Terms at any time. Upon termination:

  • Your access to the Services will be suspended
  • You remain responsible for any outstanding fees
  • We will retain Your Data for a reasonable period to allow export
  • Provisions that should survive termination will remain in effect

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Diego County, California.
